1. Definitions
The definitions in this clause apply in this agreement.
Services: the advertising of your charity on the Market Place.
Market Place: the area on the app which displays your charity profile.
App: the Strider App.
Platform: the management portal where the Client manages their charity profile and bank account details for donations.
Charity Profile: all details you upload into your profile which includes, but is not limited to, your logo, contact information and bank account details.
End users: all users who use the App to gain tokens to support your charity.
Donation: payments made to you by the Company every month.
Charities: charities registered with the Charities Commission and listed on the Market Place.
Companies: businesses that list discounts and offers for End users.
2. Downtime: non-availability of the Services but excludes any agreed downtime and emergency or scheduled maintenance.
3. Our agreement with you
Your obligations
By entering this agreement you agree to:
3.1 Provide Strider App Ltd with the required information to list you on the Market Place, this includes but is not limited to Charity Logo, information about the charity and some images associated with the charity; and
3.2 Ensure all information is accurate and the charity has permission(s), rights and royalties to use and share images and information; and
3.3 Remain a registered Charity for the duration of the contract.
Our obligations
By entering this agreement we agree to:
3.4 Provide visibility of the charity on the App and Market Place; and
3.5 Pay a donation to the charity every month; and
3.6 Work with Companies to raise the charity profile.
4. Termination
4.1 Either party may terminate this agreement with one month’s notice in writing for whatever reason; or
4.2 If the Charity brings itself and, therefore, Strider App Ltd into disrepute, Strider App may terminate the contract immediately; or
4.3 If Strider App Ltd brings itself and, therefore the Charity into disrepute, the Charity may terminate the contract immediately.
5. Limitation of liability: YOUR ATTENTION IS PARTICULARLY DRAWN TO THIS CLAUSE.
5.1 We have obtained insurance cover in respect of our own legal liability for individual claims not exceeding £250,000. The limits and exclusions in this clause reflect the insurance cover we have been able to arrange and you are responsible for making your own arrangements for the insurance of any excess loss.
5.2 Nothing in the Contract limits any liability which cannot legally be limited, including liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation; and
(c) breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession).
5.3 Subject to clause 5.1, we will not be liable to you, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with the Contract for:
(a) loss of profits;
(b) loss of sales or business;
(c) loss of agreements or contracts;
(d) loss of anticipated savings;
(e) loss of use or corruption of software, data or information;
(f) loss of or damage to goodwill; and
(g) any indirect or consequential loss.
5.4 Subject to clause 5.2, the Charity or Strider App’s total liability to each other arising under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will be limited in full.
5.5 This clause 5 will survive termination of the Contract.
